Shareholders of a second generation family owned home furnishing company desired to buy the shares of an operating family shareholder member due to differing strategic initiatives.
As negotiator, mediator and financial advisors, a share purchase agreement was ultimately negotiated to purchase the shares of the exiting family shareholder. The purchase agreements were structured based on buy-sell agreements, appraisals and capital needs of the operating company.
As a result, a complex shareholder buyout was structured with multinational entities, valuing the buyout in excess of $4 Million. As a result of this transaction, the remaining shareholders were then able to focus on the success of the company under aligned strategic initiatives.
